Terms of Service

FESTIVAL INTELLIGENCE · Operated by THE FILM CO LLC, a Florida limited liability company

1. Agreement and contracting party

These Terms of Service (“Terms”) govern use of FESTIVAL INTELLIGENCE at https://cannesintelligence.vip (the “Platform”) and purchases of intelligence products and advisory services. The contracting provider is THE FILM CO LLC, a Florida limited liability company (“Company,” “we,” “us”). Its exact registered legal name and notice address are THE FILM CO LLC and 1516 West Ave #3, Miami Beach, Florida 33139, United States.

By accepting these Terms, creating an account or purchasing services, you agree to them. If acting for an organization, you represent that you have authority to bind it. The Platform is intended for business users aged 18 or older. Mandatory statutory rights are not waived.

2. Services and scope

We provide film and television market intelligence, project-readiness assessments, positioning memoranda, market action plans, financing and partner readiness analysis, market-launch strategies, preliminary tax-incentive/jurisdiction screening and ongoing intelligence retainers. The scope, price, assumptions and estimated delivery period of each engagement are as stated at checkout or in a written proposal, order confirmation or statement of work (“Order”). If an Order expressly conflicts with these Terms, the signed Order controls for that engagement.

Entry-level products do not include named-company introductions, direct outreach, brokerage or fundraising services. Higher-tier work may include strategic recommendations or expressly agreed introductions, without any obligation to secure meetings, investment, sales or other results. We do not arrange financing.

3. Ordering, fees and taxes

Entry-level reports are ordered and paid for through online checkout. Consultation-led reports are scoped following an enquiry and discussion; an agreed one-time Stripe payment link confirms the final fee, which may differ from public indicative pricing. Retainers require an agreed written scope. Fees are in US dollars unless stated otherwise; applicable taxes are additional where required. Payments are processed on Stripe-hosted pages; we do not receive full card details.

We may reject or pause an order where necessary information is missing, the proposed scope falls outside our services, or compliance concerns arise. No delivery obligation begins until payment and required materials are received and scope is confirmed.

4. Upgrade credit

If a customer purchases an eligible entry-level report and commences a Professional Project Intelligence Report within 30 calendar days after the original payment date, the customer may apply a credit equal to 50% of the amount actually paid for that eligible entry-level report, excluding taxes and refunded amounts. “Commences” means accepting the Professional Report order and paying the required fee within that 30-day window. The credit may be used once only, against that Professional Report, cannot be combined across orders, and is non-transferable, non-cash, non-refundable and has no residual value. It does not apply to subscriptions, retainers or other products.

5. Delivery and client cooperation

Reports are delivered by email or secure link, and professional engagements may involve consultation and analyst review. Stated timelines are good-faith estimates, not guaranteed deadlines unless expressly agreed in writing. We will use commercially reasonable efforts to meet agreed schedules; delays caused by missing client information, revisions in scope or external sources may extend delivery. Program Match materials not approved by an analyst will be marked DRAFT and must not be treated as final findings.

You warrant that you have rights to provide your materials and that they are accurate to the best of your knowledge. You remain responsible for business decisions, clearance of underlying rights and independent verification of material facts.

6. Memberships, renewal and access

Membership offerings include Festival Pass ($95, one-time time-limited access), Monthly ($75 recurring), Annual ($595 recurring) and Enterprise ($5,000; the term, number of seats and any renewal arrangement are specified at checkout or in a separate written agreement). The applicable checkout page must display the current price, billing frequency, access period and material renewal terms before purchase. Monthly and Annual plans automatically renew at the then-disclosed recurring price unless cancelled before renewal. We will give notice of material price changes as required by applicable law.

You may cancel recurring membership through the available account cancellation function or by contacting the support email below. Cancellation stops future renewals and normally preserves access until the end of the paid period. Following failed payment, we may provide a grace period of a reasonable grace period and then suspend access. Access is for one named user per seat; Enterprise permissions require a separate written arrangement.

7. Retainers and changes

Retainers are monthly engagements commencing on the agreed start date, with monthly fees and deliverables defined in a signed Order. Unless the Order states otherwise, either party may end a retainer by written notice at least 30 days before the next billing date; fees for the current committed billing period remain payable, subject to mandatory law and our material breach. Material changes in deliverables, jurisdictions, research intensity or meeting requirements require written scope and fee approval. “Fair use” means usage consistent with the agreed deliverables and reasonable analyst capacity; no unspecified unlimited service is promised.

8. Refunds and cancellation

For entry-level reports, cancellation requested before substantive analyst work starts is eligible for a full refund; after work begins but before delivery, we may deduct reasonable, documented work performed and refund the balance; after delivery, fees are generally non-refundable except for material nonconformity, our uncured breach or applicable law. For consultation-led reports, the signed Order may specify milestones and non-refundable work already performed; absent a special agreement, the same work-performed approach applies. Retainer fees are non-refundable for elapsed service periods, subject to applicable law and material breach. Membership fees are ordinarily non-refundable after access begins; cancellation prevents future renewal, but any statutory cancellation or refund rights prevail.

Refund requests: thefilmcochannel@gmail.com. We will assess requests fairly and process approved refunds through Stripe to the original payment method where possible. Payment processor fees are our operating cost and are not automatically deducted from a refund owed by law.

9. Confidentiality and client materials

We will treat nonpublic project information, scripts, budgets, financing plans, unreleased materials and business strategies disclosed for an engagement as confidential. We will use them only to perform services, administer the relationship, satisfy lawful obligations and improve internal operations using information that has been irreversibly de-identified and aggregated. We will not publish client-identifiable projects or disclose confidential materials to other customers without permission. Access is limited to personnel and service providers under appropriate confidentiality obligations.

Confidentiality does not cover information independently developed without use of confidential materials, lawfully received without restriction, publicly available without breach, or required by law to be disclosed (with advance notice where legally permitted). Each party must use reasonable protective measures. A separate NDA may be agreed for high-sensitivity engagements.

10. Ownership and permitted report use

Clients retain ownership of their pre-existing materials and grant us a limited license to process them for the engagement. We retain ownership of our pre-existing and independently developed methodologies, research catalogues, program databases, prompts, analytical frameworks, templates, software, know-how and general market intelligence (“Company Materials”). Subject to full payment, the client receives a perpetual, nonexclusive, worldwide license to use its final commissioned report for internal business purposes and to share it confidentially with bona fide financiers, investors, distributors, professional advisers and prospective partners evaluating that project, provided attribution and disclaimers remain intact.

No client may resell, sublicense commercially, publish in bulk, scrape, reverse engineer, train models on, or redistribute Company Materials or report databases. No transfer of ownership of Company Materials is implied. We may retain non-identifying learnings that do not reveal client confidential information.

11. Acceptable use and security

Do not share credentials, circumvent access controls, scrape or bulk extract data, automate excessive queries, upload malicious content, infringe third-party rights, or use outputs unlawfully. You are responsible for safeguarding credentials and promptly notifying us of unauthorized use. We may reasonably suspend access for security, nonpayment or material breach, with notice and opportunity to cure where practicable; immediate suspension may occur for serious risk.

12. Information-only nature; third parties; AI

Our services provide research and strategic analysis, not legal, tax, accounting, securities, investment or regulated financial advice. We are not a broker, investment adviser, law firm or tax adviser. Incentive screening is preliminary and does not establish eligibility, award amount or approval. Rules, availability and interpretations can change; some source records may be partially verified. Outputs may include AI-assisted analysis and errors. Verify material facts with original authorities and qualified professionals before acting. No festival selection, buyer interest, financing, investment, commercial return or other outcome is promised. See our separate Disclaimer, incorporated by reference.

13. Warranties and limitation of liability

To the fullest extent permitted by applicable law, services and information are provided on an “as available” basis without warranties of accuracy, completeness, fitness for a particular purpose or uninterrupted access, except express commitments in an Order. Neither party is liable for indirect, special, incidental, punitive or consequential damages, including lost profits or opportunities, to the extent legally excludable. Our aggregate liability arising from a claim is capped at the fees paid by the claimant to us for the specific product or engagement giving rise to the claim during the 12 months preceding the event, or the full fee for that engagement if paid earlier. This cap does not exclude liability that cannot lawfully be limited, including fraud, willful misconduct, or statutory rights; confidentiality and data-protection obligations remain subject to mandatory law.

14. Disputes and governing law

These Terms are governed by Florida law, excluding conflicts rules, except where mandatory law of another jurisdiction applies. Subject to mandatory consumer jurisdiction rules, the state and federal courts located in Miami-Dade County, Florida have exclusive jurisdiction over disputes. Parties will first attempt good-faith informal resolution for 30 days after written notice. No mandatory arbitration is imposed under this draft.

15. Changes, notices and contact

We may update these Terms prospectively with an updated version and effective date. Material changes will be communicated where required, and renewed acceptance may be requested; changes will not retroactively alter a paid Order without agreement. Notices may be sent to the email associated with your account. Contact: thefilmcochannel@gmail.com; operational sender: hello@cannesintelligence.vip.
